1. Acceptance of Terms

Welcome to CENTREP. The following are the terms and conditions for use of the CENTREP platform (the "Service"). CENTREP reserves the right to update and change these Terms and Conditions at any time without notice. By using the Service, you accept and agree to be bound by these Terms and Conditions.

2. Description of Service

CENTREP provides a platform for entrepreneurial education and networking. This includes, but is not limited to, access to resources, mentorship, and a collaborative online environment where users can learn and exchange ideas related to entrepreneurship. Please note that we are not responsible for any agreements or interactions between users, whether they are monetary or otherwise.

3. User Eligibility

The Service is available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, the Service is not available to minors (under 18). If you do not qualify, please do not use the Service.

4. User Conduct and Prohibited Activities

As a user, you agree not to use the Service to:

* Harm minors in any way;

* Impersonate any person or entity, including but not limited to a CENTREP representative, or falsely state or otherwise misrepresent your affiliation with a person or entity;

* Upload, post, email, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

* Transmit or share any material that infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party;

* Transmit or share any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

* Transmit or share any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

Violation of these rules may result in immediate termination of this agreement and your access to the CENTREP community.

5. Termination

You agree that CENTREP may, under certain circumstances and without prior notice, immediately terminate your CENTREP account and access to the Service.

6. Disclaimers and Limitation of Liability

CENTREP, its founders, staff, and community administrators and managers are not liable for any direct, indirect, incidental, consequential, or any other damages arising out of or in connection with the use of the CENTREP community. This includes any damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from the use of or inability to use the Service, unauthorized access to or alteration of your transmissions or data, statements or conduct of any third party on the Service, or any other matter relating to the Service.

7. Indemnity

You agree to indemnify and hold CENTREP, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the Terms and Conditions, or your violation of any rights of another.

8. General

The failure of CENTREP to exercise or enforce any

right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect.

9. Applicable Law and Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of Singapore and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
